("ESP Data") in accordance to using VinLINK™ may contain other proprietary notices or describe products, services, processes or technologies owned by ESP Data and/or third parties. Nothing contained herein shall be construed as granting to the user a license under any copyright, trademark, patent or other intellectual property right of ESP Data and/or any third party. Neither ESP Data nor any affiliate or subsidiary thereof will be responsible for any incorrect third party material.

VIN Decoding and Vehicle Factory Equipment Data
This information is proprietary to ESP Data and its data suppliers and is protected under U.S. copyright law and international treaty provisions. This information is provided for your personal or professional use. This information is to be used on a per Vehicle Identification Number ("VIN") basis. This VIN decoded information cannot be electronically cross-channeled or re-used with another vehicle that has a different VIN or transferred to a new owner of the VIN. This agreement will be immediately terminated if it is determined that the end user is using VinLINK™ data on vehicles, which were not FIRST submitted to the VinLINK™ web server.

If the end user copies or modifies the Licensed Data or if the end user transfers possession of any copy, adaptation, transcription, or merged portion of the Licensed Data to any other party in any way not expressly authorized by ESP Data, this agreement will be automatically terminated.

ESP Data grants the end user to the right to use the VinLINK™ data for the purpose of displaying the data either on print material, or as electronic media to be used via the Internet for automotive related web sites on a per VIN basis.

The end user shall not store the VinLINK™ decoded data and it’s associated material for longer then 60 (Sixty) days or when the vehicle has been sold by the end user, which ever comes later. This data must be removed and destroyed on all end users servers, or personal computers, or any electronic media device, and all associated tape back up media. Promptly upon termination of this agreement for any reason or upon discontinuance or abandonment of the VinLINK™ service the end user must return, or certify the destruction of, all data that was decoded by the VinLINK™ service, and all other materials pertaining to the VinLINK™ service.

DeskLot Note: In order to best abide with the above VinLink terms, DeskLot deletes all decoded records 45 days old or older.

The VinLINK™ web service requires that all accounts be opened with a minimum of $25 (Twenty Five Dollars) USD. Upon termination of the VinLINK™ web service all monies below $25 (Twenty Five Dollars) USD will be forfeited. All monies above $25 (Twenty Five Dollars) USD will be refunded within 6-8 weeks via a corporate authorized check issued by ESP Data Solutions, Inc.

Trademark
The ESP Data name and logo, along with the VinLINK™ name and logo and all related products and service names, design marks, and slogans are the trademarks, service marks or registered trademarks of ESP Data or its affiliates or partners. All other product and service marks contained herein are the trademarks of their respective owners.

Consent to Monitoring and Disclosure
ESP Data is under no obligation and does not assume any obligation to monitor the information residing on or transmitted to this service. However, anyone using this service agrees that ESP Data may monitor the contents periodically to (1) comply with any necessary laws, regulations, or other governmental requests; (2) to operate the service properly or to protect itself and its users. ESP Data reserves the right to modify, reject or delete any information residing on or transmitted to its service that it, in its sole discretion, believes is unacceptable or in violation of these terms and conditions.

Should any user of information on this service provide ESP Data information, including without limitation feedback, data, answers, questions, comments, suggestions, plans, ideas or the like to ESP Data, such information shall be deemed to be non-confidential and ESP Data assumes no obligation to protect such information from disclosure. The submission of such information to ESP Data shall in no way prevent the purchase, manufacture or use of similar products, services, plans and ideas by ESP Data for any purpose whatsoever and ESP Data shall be free to reproduce, use, disclose and distribute the information to others without restriction.

THE USER OF THIS SYSTEM ASSUMES ALL RESPONSIBILITY AND RISK FOR THE USE OF THIS SERVICE AND THE INTERNET GENERALLY. ESP DATA, AND ITS PARENTS SUBSIDIARIES DISCLAIM ALL WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS, EXPRESS OR IMPLIED, WITH REGARD TO THE INFORMATION ACCESSED FROM, OR VIA, THIS SERVICE OR INTERNET, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ESP DATA DOES NOT ASSUME ANY LEGAL LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION, APPARATUS, PRODUCT OR PROCESS DISCLOSED ON THE SERVICE OR OTHER MATERIAL ACCESSIBLE FROM THE SERVICE. IN NO EVENT SHALL ESP DATA BE LIABLE FOR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA, OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE INFORMATION ON THIS SERVICE OR THE INTERNET GENERALLY.
